Commercial Advisory and Transaction Management

Prentice Consulting’s commercial advisory and transaction management consulting practice is led by Jeremy Prentice, a highly experiences commercial advisor and legal practitioner with over 30 years of post-admission experience gained in Australia and internationally.

Drawing on his extensive legal experience and expertise in commercial structuring of projects, Jeremy works closely with clients to design arrangements aligned with project characteristics, cash flow requirements, financing models, and risk tolerance. He is particularly adept at identifying and managing risk while preserving commercial opportunity—balancing commercial integrity with excellent business outcomes. He applies these attributes to provide effective transaction management services and to negotiate contracts to a successful conclusion.   Successful, efficient and sustainable project delivery is his goal.

Jeremy continues to undertake senior leading roles for complex transaction management and commercial structuring.   Notable roles include:

Queensland Health, Health Infrastructure Queensland – Transaction and Negotiation Lead for the $17 billion Capacity Expansion Program. Over a period of two years working as an embedded consultant, Jeremy successfully led the transaction management and negotiation of the following projects:

  • New Coomera Hospital - Redcliffe Hospital expansion

  • Cairns Hospital expansion - Prince Charles Hospital Expansion

  • New Toowoomba Hospital - Logan Hospital Stage 2 Expansion

  • Townsville Hospital Expansion - Ipswich Hospital Expansion

  • New Bundaberg Hospital - Princess Alexandra Hospital Expansion

  • Mackay Hospital Expansion - QEII Hospital Expansion. 

This intensive program of works was the largest tender package let in Queensland’s history. Jeremy’s negotiation of each of these deals and co-ordination of the transaction management arrangements for this extensive requirement facilitated the smooth close of these projects for Stage 1. The negotiation of the five projects that reached accepted stage 2 offers prior to the 2023 State Election were resulting in savings to the State of almost a half a billion dollars on the initially proposed pricing.

Ports North – Cairns Marine Precinct Common User Facility.  Providing Ports North with commercial structuring advice to facilitate successful project delivery utilising a co-funded (State, Commonwealth and private) model for the long term development and operation of a significant shiplift and shipyard facility in Cairns.  Project value is confidential.

VIDA – advising the Victorian Government on commercial considerations and structuring for the multi-billion dollar redevelopment of the Parkville Health Precinct in Melbourne.

Jeremy’s depth of insight is informed by his leadership across the public, private, and not-for-profit sectors. Notable roles include:
